Terms and Conditions

Terms and Conditions of participation in paid events and access to paid content posted on the educational platform of Novismo Academy sp. z o.o.

The service provider is Novismo Academy sp. z o.o. with its registered office in Warsaw at ul. Domaniewska 37 apt. 2.43, entered into the National Court Register (KRS) under the number 0000956944, identified by the Tax Identification Number (NIP): 5213958250.

 

Glossary of Terms

The terms used in these Terms and Conditions shall have the following meanings:

  • Novismo Academy Educational Platform (hereinafter: “Platform”) – an interactive IT system enabling access to paid and free substantive content (asynchronous model) and the provision of educational support services via the Internet (synchronous model).
  • Participant – a natural person using the Platform, the content provided therein, or participating in an Event.
  • Customer – a natural person, legal person, or organizational unit registering a Participant for an Event and/or making the payment.
  • Event – an educational service conducted in real-time (synchronously), in particular: a webinar, seminar, training, workshop, or consultation, delivered in an open or closed format, in-person or remotely.
  • Seminar – information and training sessions aimed at transferring knowledge in a specific area.
  • Certification Training – training conducted in accordance with the MATRIZ curriculum, preparing candidates for certification for Level 1, 2, or 3 MATRIZ Specialist.
  • Workshops – practical sessions aimed at consolidating knowledge in the field of pragmatic innovations based on the TRIZ methodology.
  • Consultations – interactive contact with a specialist (trainer) at a scheduled time, serving to deepen the knowledge acquired during training or via e-learning.
  • E-learning Content – substantive materials provided digitally, intended for self-study at any place and time (asynchronous model).

 


 

CONTENT OF THE TERMS AND CONDITIONS

§ 1. Use of the Platform and registration of participation
  1. The condition for participating in an Event and obtaining Participant status is the correct completion of the registration form available at: www.novismo.academy or sending an order containing data identical to the scope of the form to the e-mail address: office@novismo.academy.
  2. Qualification for an Event is determined by the order of applications. The number of places is limited.
  3. Novismo Academy confirms the acceptance of the application by sending a message to the e-mail address provided by the Participant or the Customer.
  4. Gaining access to asynchronous content requires account registration on the Platform and expressing the necessary consents for the processing of personal data, in accordance with applicable legal regulations.
  5. The use of synchronous services and e-learning content is conditional upon meeting the minimum technical requirements regarding hardware, software, and internet connection. The current specification of technical requirements is available on the Platform.
§ 2. FEES

I. In-person training, online training, and consultation services (synchronous)

  1. The Participant is obliged to pay the registration fee within 14 days from the date of receiving the pro-forma invoice, but no later than 7 days before the start of the event. The date of payment is considered the date the funds are credited to the Novismo Academy bank account.
  2. Failure to pay within the specified period is equivalent to resignation from participation in the event, which entitles the Organizer to remove the Participant from the list without a separate summons.
  3. The amount of the fee and the scope of benefits depend on the package selected by the Participant and the date of registration:
    • 3.1. Standard prices apply to applications submitted no later than 7 days (until 23:59) before the start date of the event.
    • 3.2. Late registration: In the case of applications submitted less than 7 days before the event, the Organizer reserves the right to refuse the application or charge an additional fee of up to 10% of the order value, resulting from the costs of handling a late registration.
    • 3.3. Detailed rates and package contents are specified in Appendix No. 1 to these Terms and Conditions.
  4. The fee should be paid to the bank account at mBank S.A., No.: 71 1140 2004 0000 3502 8227 5145, providing the pro-forma invoice number in the title or using the payment methods provided on the registration platform.
  5. The event price does not include additional costs such as travel, accommodation, or internet connection costs, unless Appendix No. 1 states otherwise. These costs are covered by the Participant at their own expense.
  6. Prices listed in Appendix No. 1 are net prices. VAT will be added to the above amounts in accordance with the applicable rate (23%).

II. E-learning content (asynchronous)

  1. E-learning content is made available to the Participant for a specified period after the payment is credited. The access time for specific materials is indicated each time in the product description on the educational platform.
  2. The condition for gaining access to paid materials is the payment of the full fee before starting to use the content. Rates and the scope of access are specified in Appendix No. 2 to these Terms and Conditions.
  3. Payments must be made via electronic payment forms available directly on the educational platform.
  4. Prices listed in Appendix No. 2 are net prices and are subject to VAT at the rate of 23%.
  5. The Organizer reserves the right to apply discounts, discount codes, and organize promotional campaigns in accordance with the current commercial policy. Promotions for synchronous and asynchronous services do not combine, unless the regulations of a given promotion state otherwise.
§ 3. CANCELLATION OF PARTICIPATION AND WITHDRAWAL FROM THE CONTRACT

I. Synchronous services (in-person training, online, consultations)

  1. The Participant has the right to resign from participation in the event without giving a reason. Resignation requires a written or electronic form (e-mail to the address: office@novismo.academy).
  2. Cost-free resignation is possible if the statement is delivered to the Organizer no later than 7 calendar days before the planned start date of the event.
  3. In the case of resignation submitted less than 7 days before the start of the event or in the event of the Participant’s absence, Novismo Academy retains the right to 100% of the paid fee as incurred organizational costs.
  4. The refund of eligible funds will occur within 14 days from the date of receiving a valid resignation statement, to the bank account from which the payment was made, unless the Participant indicates a different account number.
  5. The Organizer reserves the right to reduce the refunded amount by direct transaction costs (e.g., commissions of instant payment operators), unless the regulations of the given payment platform state otherwise.

II. Asynchronous content (e-learning)

  1. In the case of purchasing digital content that is not saved on a tangible medium, the Participant has the right to withdraw from the contract without giving a reason within 14 days from the date of purchase, provided that they have not started downloading the content nor gained full access to it (logging in/launching the course).
  2. In accordance with Art. 38 point 13 of the Consumer Rights Act, the right to withdraw from a distance contract expires at the moment of starting to download digital content or gaining access to the materials after the Participant has previously agreed to begin the performance before the deadline to withdraw expires and after acknowledging the loss of this right.
  3. Before purchasing, the Participant has the opportunity to familiarize themselves with a free introduction and samples of paid content provided on the educational platform, which allows for an informed purchase decision and resignation from the right of withdrawal in favor of immediate access.
  4. In the case of an effective withdrawal from the contract (before gaining access/downloading), the refund of the payment will occur within 14 days, in a manner analogous to that described in section I points 4 and 5 above.
§ 4. CANCELLATION, RESCHEDULING AND CONTENT CHANGES

I. Synchronous services (in-person training, online, consultations)

  1. Right to cancel or change: Novismo Academy reserves the right to cancel an event, change its date, format of delivery (e.g., switching from in-person to online), or the instructor in the event of reasons beyond the Organizer’s control (e.g., trainer’s illness, force majeure, insufficient number of participants).
  2. Notification method: The Organizer will inform the Participant of any changes or cancellation of the event immediately via electronic means (e-mail) or by phone, using the details provided in the application form.
  3. Refund procedure: In the event of the cancellation of an event by the Organizer or a change of date that the Participant does not accept, Novismo Academy will refund 100% of the paid amount within 7 business days from the date of providing information about the cancellation or lack of acceptance of the new date.
  4. Limitation of liability: Novismo Academy’s financial liability due to the cancellation or change of the event’s date is limited solely to the refund of the registration fee paid by the Participant. The Organizer does not cover additional costs incurred by the Participant, such as travel costs, accommodation, or lost benefits.
  5. Right to refuse application: Novismo Academy reserves the right to refuse to accept an application or to remove a Participant from the list of participants without giving a reason, in particular in the event of the Participant violating the rules of the terms and conditions or good customs.
  6. Settlement after removal: In the event that a Participant is removed from the list by the Organizer before the start of the event, Novismo Academy will make a full refund of the paid funds and issue an appropriate corrective invoice within 14 days from the date of the decision.

II. Asynchronous content (e-learning)

  1. Updating and withdrawing content: Novismo Academy reserves the right to modify, update, and temporarily or permanently withdraw specific content from the educational platform as part of their constant improvement or adaptation to current knowledge standards.
  2. Effects of content withdrawal: In the event of a complete withdrawal of content from the platform before the access period paid for by the Participant expires, Novismo Academy will inform the Participant about it electronically and will refund the fee in an amount proportional to the unused access period.
  3. Limitation of liability: Novismo Academy’s financial liability due to the withdrawal of content is limited solely to the refund of the fee paid by the Participant (or its proportional part). The Organizer is not liable for possible damages resulting from the inability to use the content for the Participant’s business or educational purposes.
  4. Technical breaks: In the case of planned maintenance works or system failures for which Novismo Academy is responsible, lasting longer than 24 hours, the Participant’s access period to paid content will be automatically extended by the duration of the unavailability.
  5. Exclusion of liability for external factors: Novismo Academy is not responsible for the lack of access to content caused by technical problems on the Participant’s side (e.g., low internet bandwidth, incompatible software), actions of third parties, or force majeure.
  6. Refusal of access: The Organizer reserves the right to refuse the Participant’s registration or to block access to paid content in the event of a justified suspicion of a violation of the terms and conditions, sharing login details with third parties, or copyright infringement.
  7. Participant removal and refund: In the event of a decision to remove the Participant from the platform without any fault on their part, Novismo Academy will refund the full payment amount (if access has not yet been activated) or an amount proportional to the unused period (if access was already ongoing) and will issue a corrective invoice.
§ 5. GUARANTEE AND CERTIFICATION
  1. Quality of education: Novismo Academy guarantees conducting the event or providing content in accordance with the highest substantive standards and the program published on the website www.novismo.academy. The Organizer ensures that the course program covers the scope of knowledge required to take the certification exam at a given level.
  2. Communication: After registering, Novismo Academy will contact the Participant exclusively via the e-mail address provided in the application form to confirm the reservation, provide payment details, and organizational instructions.
  3. Conditions for obtaining a certificate: Obtaining a MATRIZ certificate (Level 1, 2, or 3) is conditional upon the joint fulfillment of the following conditions:
    • 3.1. Attendance at classes (in accordance with the requirements of a given course),
    • 3.2. Obtaining a positive result on the certification exam,
    • 3.3. Payment of the appropriate certification fee specified in the price list.
  4. Certification process: Formal certification is conducted by the MATRIZ organization. Novismo Academy acts as an intermediary in providing documentation. The certificate in digital or paper form (depending on current MATRIZ guidelines) is delivered to the Participant within 60 days from the date of obtaining a positive exam result.
  5. No guarantee of result: The Organizer ensures reliable substantive preparation, but does not guarantee a positive exam result. The result depends on the individual preparation and commitment of the Participant.
  6. Retake exam: In the event of obtaining a negative result, the Participant has the right to take a retake exam once within 60 days from the date of completing the training. The date of the retake exam is set individually, and an additional fee is charged for its conduct in accordance with the current fee schedule.
  7. Liability for delays: Novismo Academy is not responsible for delays in issuing certificates resulting from reasons attributable to the MATRIZ organization.
§ 6. COMPLAINTS
  1. Form of submission: All complaints regarding services provided by Novismo Academy (both synchronous and asynchronous) should be reported in writing to the Organizer’s registered office address or electronically to the address: office@novismo.academy. In the case of sending an e-mail, it is recommended to select the read receipt option.
  2. Content of the complaint: The complaint notification should include the Participant’s data, the name and date of the event (or the name of the e-learning content), the invoice number, and a detailed description of the reservations along with justification.
  3. Confirmation of receipt: Novismo Academy immediately confirms the receipt of the complaint in the same form in which it was submitted.
  4. Review period: The Organizer undertakes to review the complaint within 14 calendar days from the date of its receipt. A lack of response within this period (in the case of consumers) is considered as acknowledging the complaint as justified.
  5. Method of resolution: If the complaint is deemed justified, Novismo Academy – depending on the nature of the irregularity and in agreement with the Participant – will propose one of the following solutions:
    • 5.1. Price reduction of the service or a proportional refund of costs,
    • 5.2. Granting a discount on future events or access to other educational content,
    • 5.3. The possibility of free re-participation in an event of the same or similar thematic scope.
  6. Final decision: The decision on how to resolve the complaint is communicated to the Participant in written or electronic form along with a justification.
  7. Out-of-court disputes: A Participant who is a consumer has the option of using out-of-court methods of resolving complaints and pursuing claims, e.g., through the ODR (Online Dispute Resolution) platform available at: ec.europa.eu.
§ 7. CODE OF GOOD PRACTICES AND INTELLECTUAL PROPERTY PROTECTION
  1. Quality standards: Novismo Academy undertakes to provide services with the utmost care and professional ethics. Any inquiries, suggestions regarding the substantive content, or technical comments should be directed to the address: office@novismo.academy. The Organizer declares readiness to continuously improve the content based on Participant feedback.
  2. Intellectual property: The Participant acknowledges that all teaching materials, presentations, recordings, tests, graphics, and proprietary methodologies provided during events (synchronous) and made available on the platform (asynchronous) are the intellectual property of Novismo Academy or cooperating entities and are legally protected under the act on copyright and related rights.
  3. Prohibition of recording and distribution: The Participant is prohibited – without the prior, explicit consent of the Organizer expressed in writing under pain of nullity – from:
    • 3.1. Recording audio and video during classes (online and in-person),
    • 3.2. Taking photos or screenshots of the presented materials,
    • 3.3. Copying, reproducing, and sharing materials with third parties.
  4. Permitted use: The acquired materials and knowledge may be used by the Participant exclusively for personal purposes and for raising professional competencies as part of the duties performed for their current employer.
  5. Prohibition of competitive activity: The use of Novismo Academy’s materials or methodology to conduct one’s own training, consulting activities, public appearances of a commercial nature, or publications without the Organizer’s consent is strictly prohibited and may result in liability for damages.
  6. Confidentiality: The Participant undertakes to keep strictly confidential all information of a know-how nature and trade secrets of the Organizer to which they gained access during the performance of the service.
§ 8. PERSONAL DATA PROTECTION

According to Art. 13 sec. 1 and 2 of the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (hereinafter “GDPR”), we inform that:

  1. Data Controller: The administrator of the Participants’ personal data is Novismo Academy Sp. z o.o. with its registered office in Warsaw (02-672) at ul. Domaniewska 37 apt. 2.43, entered into the register of entrepreneurs of the National Court Register (KRS). Contact with the Administrator is possible at the e-mail address: office@novismo.academy.
  2. Purposes and grounds for processing: Personal data is processed for the purpose of:
    • 2.1. Concluding and executing a contract for the provision of training services or access to the platform (Art. 6(1)(b) GDPR),
    • 2.2. Fulfilling legal obligations (issuing invoices, tax reporting – Art. 6(1)(c) GDPR),
    • 2.3. Conducting the certification process in the MATRIZ organization (Art. 6(1)(f) GDPR – legitimate interest),
    • 2.4. Pursuing potential claims or defending against them (Art. 6(1)(f) GDPR).
  3. Data recipients: Data may be transferred to entities supporting the implementation of services: IT system providers, payment platform, accounting office and – in the case of applying for a certificate – the MATRIZ certification organization.
  4. Storage period: Data will be stored for the period necessary to perform the service, and after its completion for the time required by tax law (5 years) or until the statute of limitations for potential claims expires.
  5. Participant’s rights: The Participant has the right to access their data, rectify it, delete it (“right to be forgotten”), restrict processing, the right to data portability, and the right to object.
  6. Complaint: The Participant has the right to lodge a complaint with the President of the Personal Data Protection Office (PUODO) if they believe that the processing of data violates the provisions of the GDPR.
  7. Voluntary nature: Providing data is voluntary but necessary to register for the event, issue an invoice, and obtain a certificate.
  8. Privacy Policy: Detailed rules for data processing and the use of cookies can be found in the full Privacy Policy available on the website www.novismo.academy.
